Terms of Service
Terms for using GradeNeeded — covering accounts, cloud data, subscriptions, push notifications, AI features, academic integrity, and acceptable use.
Agreement to terms
By accessing or using GradeNeeded, you agree to be bound by these Terms of Service and all other policies referenced herein, including the Privacy Policy, Cookie Policy, Disclaimer, and Acceptable Use Policy. If you do not agree to these terms, do not use GradeNeeded. These terms form the entire agreement between you and GradeNeeded regarding your use of the service.
Educational planning only
GradeNeeded provides educational planning tools and estimates for grades, GPA, weighted grades, passing calculations, assignments, deadlines, credits, study planning, degree progress, semester scheduling, and academic organization. It does not provide official academic advice, official grades, or school-approved academic records. GradeNeeded is not an educational institution, is not affiliated with any school, and does not hold or process education records subject to FERPA or any equivalent educational records privacy law.
Not official records
Results and saved planner information from GradeNeeded are not official school records and are not a substitute for your instructor, syllabus, learning management system, advisor, school, or official gradebook. Always confirm important information with official course materials and school systems. GradeNeeded data has no legal or academic standing and cannot be used as evidence of grades, completion, attendance, or any academic standing.
Minimum age requirement
You must be at least 13 years old to create a GradeNeeded account. By creating an account, you represent and warrant that you are 13 years of age or older. If you are between 13 and 17, you represent that your parent or legal guardian is aware of your use of GradeNeeded, and that the parent or guardian accepts these terms on your behalf. GradeNeeded does not knowingly collect personal information from users under 13. If GradeNeeded discovers or is notified that a user is under 13, that account will be terminated and its data deleted. If you are a parent or guardian and believe your child under 13 has created an account, contact support@gradeneeded.com immediately. GradeNeeded reserves the right to require age verification at any time. Users in jurisdictions where the minimum digital consent age exceeds 13 must meet that jurisdiction's minimum age to use GradeNeeded.
Parental responsibility for minor users
Parents and guardians of users aged 13 to 17 are responsible for supervising their child's use of GradeNeeded, including reviewing the username their child has chosen (it should not include their real last name or other identifying details), reviewing what profile information is publicly visible, monitoring social features and friend connections, and ensuring their child does not share sensitive personal information such as home address, phone number, full legal name, or daily routine through any GradeNeeded feature. GradeNeeded applies automatic protections for high school students — including hiding the school name from public viewers — but these are technical safeguards only. Parents remain responsible for supervising what their child shares voluntarily through posts, messages, and their chosen username. By permitting a minor to use GradeNeeded, the parent or guardian accepts these terms on the minor's behalf, takes responsibility for the minor's compliance, and acknowledges that GradeNeeded is not responsible for content the minor enters or shares. If you believe your child has shared information that puts them at risk, contact support@gradeneeded.com immediately.
Account responsibility
If you create an account, you are responsible for maintaining the confidentiality of your login credentials, using your account appropriately and in compliance with these terms, ensuring that information you enter into GradeNeeded is accurate, and promptly notifying GradeNeeded of any unauthorized access or security breach. Do not share account access with others or use another person's account without permission. You are responsible for all activity that occurs under your account.
Canvas LMS integration
GradeNeeded offers an optional Canvas LMS integration accessible in Settings → Integrations. By connecting your Canvas account, you authorize GradeNeeded to read your Canvas course list and assignment metadata for the purpose of auto-importing items into your planner. GradeNeeded reads from Canvas only — it never writes, submits, modifies, or deletes any content in your Canvas account. Your Canvas personal access token is stored server-side only and is never sent to the browser or exposed in client-facing responses. You can disconnect the integration and remove the stored token at any time from Settings → Integrations. GradeNeeded is not affiliated with or endorsed by Instructure or Canvas LMS, and makes no guarantees about the accuracy or completeness of imported Canvas data. Always verify planner data against your official Canvas course materials.
Community study sets
GradeNeeded provides a community study set library where users may publish study sets for other students to browse and copy. By publishing a study set to the community, you grant GradeNeeded a non-exclusive license to display and distribute your study set content to other GradeNeeded users as part of the community library feature. You represent that published study set content does not infringe third-party rights and complies with the Acceptable Use Policy. GradeNeeded may remove community study sets that violate content policies without notice. You may unpublish a community study set at any time, which removes it from public view. Copies others have made of your study set remain in their private library after you unpublish.
Cloud data storage
For signed-in users, GradeNeeded stores planner, study, community study set publications, schedule, degree progress, profile, social data, and push notification subscription information in Supabase. You are responsible for verifying that your data appears correctly. GradeNeeded aims to keep cloud data reliable but does not guarantee permanent data availability, accuracy, completeness, or recovery of any data. GradeNeeded may impose storage limits on free-tier accounts.
Push notifications
GradeNeeded offers optional browser push notifications for assignment due-date reminders. By enabling push notifications, you authorize GradeNeeded to store your browser's push subscription data and send push messages to your device when assignments are due. You can disable push notifications at any time in Settings or through your browser's notification permissions. GradeNeeded does not guarantee delivery of push notifications — delivery depends on your device, browser, network connectivity, and browser vendor infrastructure.
Community and social features
GradeNeeded includes optional social features including a public profile, a student activity feed, and friend connections. By enabling a public profile, you acknowledge that your first name, username, education level, avatar, and achievements are visible to other GradeNeeded users. For college, graduate, and doctoral users, your school name is also publicly visible. For high school students, the school name is restricted to accepted friends only and is not shown to the general public. You are responsible for choosing a username that does not reveal your real last name, location, or other identifying information — especially if you are a minor. You may update or remove profile information at any time from your profile settings, though removed information may remain briefly in caches or backups. By using social features, you agree not to post harmful, offensive, illegal, threatening, or misleading content; impersonate another person or institution; share other users' private or personally identifying information without consent; use these features to harass, bully, stalk, or target any person, including minors; attempt to identify, locate, or contact a minor user using any information found on GradeNeeded; or use these features in any way that violates applicable law. GradeNeeded reserves the right to remove content, restrict features, or suspend accounts that violate these rules, with or without notice. Social features are optional — you can use GradeNeeded's planning and study tools without enabling any social features.
Subscriptions and billing
GradeNeeded offers Premium and Ultra subscription plans billed monthly through Stripe. By subscribing, you authorize recurring monthly charges to your payment method at the then-current price until you cancel. You may cancel at any time through the billing portal accessible from your account settings. Cancellation stops future charges. Access to paid features continues until the end of the current billing period. Refunds are not provided for partial billing periods except where required by applicable law. If a payment fails, your account may be downgraded to the free tier. GradeNeeded reserves the right to change subscription pricing with reasonable advance notice. Cancellation and refund policy
You may cancel your Premium or Ultra subscription at any time through the billing portal in your account settings. Upon cancellation, your paid access continues until the end of the current billing period — you will not be charged again after that date. GradeNeeded does not offer prorated refunds for partial billing periods. If you believe you were charged in error, contact support@gradeneeded.com within 14 days of the charge. Refunds required by applicable consumer protection law will be honored.
FERPA disclaimer
GradeNeeded is not a school, educational institution, or school official as defined under the Family Educational Rights and Privacy Act (FERPA). GradeNeeded does not have access to, store, or process education records as defined by FERPA. Data you enter into GradeNeeded — including grades, assignments, and class information — is not subject to FERPA protections. Do not enter FERPA-protected official student records, transcripts, financial aid records, or school-issued documents into GradeNeeded. By using GradeNeeded, you acknowledge that GradeNeeded data has no connection to, and is not protected by, FERPA or any equivalent educational records law.
Intellectual property
GradeNeeded and its content — including but not limited to the Geno mascot, brand assets, interface design, feature functionality, written content, and underlying code — are the property of GradeNeeded and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, or commercially exploit any part of GradeNeeded without explicit written permission. Content you enter into GradeNeeded (such as planner notes, study sets, and profile information) remains yours. By submitting content to GradeNeeded's social features, you grant GradeNeeded a limited, non-exclusive license to display that content to other users as part of the platform's social functions.
Copyright and user-submitted materials
You are responsible for ensuring that any notes, files, images, documents, syllabus materials, study sets, feed posts, or other content you upload or submit to GradeNeeded are yours or that you have permission to use them with GradeNeeded. Do not upload pirated textbooks, copyrighted materials you are not allowed to process, confidential school records, or content that violates another person's rights. By submitting content, you grant GradeNeeded the limited rights needed to store, process, display, transmit, delete, and otherwise operate the features you use. GradeNeeded complies with the Digital Millennium Copyright Act (DMCA). If you believe content on GradeNeeded infringes your copyright, you may submit a written takedown notice to GradeNeeded's designated agent: Designated Agent: Jackson Corey Organization: GradeNeeded Address: 197 Palmer Ave, Unit #123, Falmouth, MA 02540 Email: jackson@gradeneeded.com DMCA Registration Number: DMCA-1073283 Your notice must include: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the material claimed to be infringing and its location on GradeNeeded; (3) your contact information; (4) a statement that you have a good faith belief the use is not authorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (6) your physical or electronic signature. Upon receiving a valid notice, GradeNeeded will act expeditiously to remove or disable access to the infringing material.
Termination
GradeNeeded reserves the right to suspend or terminate your account and access to the service at any time, with or without cause and with or without notice, including for violation of these terms, suspected fraudulent or abusive activity, legal compliance requirements, or prolonged inactivity. You may delete your account at any time by contacting support@gradeneeded.com. Upon termination, your right to use the service ends immediately. Provisions of these terms that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and intellectual property — will survive.
Disclaimer of warranties
GradeNeeded is provided 'as is' and 'as available' without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, or uninterrupted availability. GradeNeeded does not warrant that the service will be error-free, that defects will be corrected, that the service or its servers are free of viruses or harmful components, or that results obtained through the service will be accurate or reliable. Your use of GradeNeeded is at your sole risk.
Limitation of liability
To the maximum extent permitted by applicable law, GradeNeeded and its operators, affiliates, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of grades, academic standing, scholarships, opportunities, data, or profits, arising out of or in connection with your use of or inability to use GradeNeeded, even if GradeNeeded has been advised of the possibility of such damages. GradeNeeded's total cumulative liability to you for any claims arising from your use of the service shall not exceed the greater of (a) the total amount you paid to GradeNeeded in the 12 months preceding the claim, or (b) $50 USD. Some jurisdictions do not allow limitation of liability for certain types of damages — in such jurisdictions, GradeNeeded's liability is limited to the fullest extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless GradeNeeded and its operators, employees, and affiliates from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of GradeNeeded, your violation of these terms, your violation of any applicable law or third-party rights, any content you submit or share through GradeNeeded, or, if you are a parent or guardian, your minor child's use of GradeNeeded.
No guarantee of uptime or data availability
GradeNeeded aims to provide useful and reliable tools, but the site, accounts, cloud save, Geno AI, push notifications, social features, analytics, forms, and other features may be unavailable, delayed, interrupted, changed, or removed at any time without notice. GradeNeeded does not guarantee uninterrupted access, permanent storage, or recovery of any data. GradeNeeded is not responsible for academic consequences resulting from unavailability, data loss, reminder failures, or any service interruption.
Use responsibly
You are responsible for checking the numbers, assignments, due dates, statuses, notes, and grades you enter and confirming grading policies for your course. GradeNeeded cannot guarantee a grade outcome, passing outcome, deadline result, academic decision, reminder result, push notification delivery, or study outcome. You acknowledge that GradeNeeded is a planning tool and that all academic decisions must be made based on official course materials and communications from your school.
Sensitive information
Do not enter highly sensitive personal information, passwords, private school portal credentials, student ID numbers, official academic records, medical information, financial information, Social Security numbers, or confidential information into planner notes, Geno AI messages, social posts, forms, or any other GradeNeeded feature. GradeNeeded is meant for ordinary schoolwork planning and academic organization. GradeNeeded is not responsible for any consequences resulting from a user entering sensitive information into the platform. Minor users (aged 13–17) are specifically advised not to include their full legal name, home address, phone number, personal email address, school ID, or any other information that could be used to identify or locate them in real life in any part of GradeNeeded, including their username, display name, profile, feed posts, and AI messages.
AI features and academic integrity
GradeNeeded's Geno AI assistant is designed to help students learn, plan, and understand material. Free users receive 20 Geno messages per day as a base. Maintaining a daily study streak earns bonus messages on top of the base — up to +20 bonus messages per day at a 30-day streak. Streak bonuses are calculated based on verified study activity stored in your account and are not guaranteed for any specific interaction pattern. By using Geno, you agree not to use it to generate essays, lab reports, or assignments you will submit as your own work; obtain answers during a live exam, quiz, or proctored test; misrepresent AI-generated content as original work; or violate your school's academic integrity policy. GradeNeeded implements safeguards against these uses but cannot guarantee detection of all misuse. Violations may result in account suspension. GradeNeeded is not responsible for academic consequences — including grade penalties, disciplinary action, or expulsion — resulting from a user's misuse of Geno or any other GradeNeeded feature.
Governing law and disputes
These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these terms or your use of GradeNeeded that cannot be resolved informally shall be resolved through binding arbitration administered under the rules of a recognized arbitration body, or in small claims court, at GradeNeeded's election. The venue for any non-arbitration proceeding shall be in Massachusetts. You waive any right to participate in a class action lawsuit or class-wide arbitration against GradeNeeded. If any provision of this waiver is found unenforceable, the remainder of this section remains in effect. You agree to bring any claim within one year of the event giving rise to the claim. Nothing in this section limits your rights as a consumer under applicable state or federal law.
Severability and no waiver
If any provision of these terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. GradeNeeded's failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
Terms updates
These terms may be updated as GradeNeeded adds or changes features. When material changes are made, GradeNeeded will update the 'last updated' date below. Continued use of GradeNeeded after a terms update constitutes acceptance of the updated terms. If you do not agree to updated terms, discontinue use of GradeNeeded. Last updated: May 25, 2026.
